These Terms and Conditions govern access to and use of the CPGBuyerAI platform website and services collectively referred to as the Service. The Service is operated by Beverage Infosystems LLC doing business as CPGBuyerAI. References to CPGBuyerAI we us or our mean Beverage Infosystems LLC.

By creating an account accessing the platform or using any part of the Service you agree to be legally bound by these Terms. If you do not agree you must not use the Service.

Description of the Service

CPGBuyerAI is an AI powered buyer discovery data intelligence and outreach enablement platform designed for consumer packaged goods brands including wine beer spirits and related categories. The Service may include buyer discovery and matching AI generated insights and scoring data enrichment and verification outreach tools workflows dashboards reports analytics and educational resources.

CPGBuyerAI does not act as a distributor agent broker or sales representative.

Eligibility and Account Registration

By using the Service you represent that you are at least eighteen years old that you have authority to bind the company you represent and that all registration information provided is accurate and current.

You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.

Binding Agreement

These Terms constitute a legally binding agreement between you and Beverage Infosystems LLC.

If you use the Service on behalf of a company or organization that entity is the contracting party and you confirm you have authority to accept these Terms on its behalf.

Data Sources AI Use and Accuracy

CPGBuyerAI uses a combination of publicly available information licensed or third party data sources AI analysis and human review.

While we strive for high quality data we do not guarantee the accuracy completeness or timeliness of any data insights or buyer matches.

AI Generated Outputs

All AI generated outputs including scores recommendations messages insights and analysis are provided for informational purposes only.

They do not constitute legal advice financial advice commercial guarantees or professional consulting advice.

You remain solely responsible for all business decisions outreach actions negotiations pricing compliance and results.

No Guarantee of Outcomes

CPGBuyerAI does not guarantee responses meetings samples requested listings distribution agreements revenue or sales success.

The Service provides tools and intelligence only and does not guarantee outcomes.

Outreach and Legal Compliance

If you use outreach messaging or communication features you confirm that you have lawful authority to contact recipients.

You are solely responsible for complying with all applicable laws including CAN SPAM GDPR UK GDPR CASL and local marketing and data protection laws.

Beverage Infosystems LLC is not responsible for misuse of outreach tools or non compliant communications.

Free Trials

If a free trial is offered trial duration and features may be limited.

Trial access may automatically convert to a paid subscription unless cancelled before the trial ends.

CPGBuyerAI reserves the right to modify suspend or discontinue trials at any time.

Fees Billing and Payments

Subscription fees are billed in advance on a recurring basis unless otherwise stated.

You authorize Beverage Infosystems LLC to charge your payment method on file for all applicable fees taxes and renewals.

All fees are non refundable except where required by applicable law.

CPGBuyerAI may change pricing or plans with prior notice. Continued use after such changes constitutes acceptance.

Intellectual Property

All software workflows AI logic scoring systems platform design branding and proprietary processes are owned by Beverage Infosystems LLC. You are granted a limited non exclusive non transferable and revocable license to use the Service during an active subscription.

Customer Data

You retain ownership of your company information uploaded materials and brand assets.

You grant CPGBuyerAI a license to process this data solely to provide and improve the Service.

Prohibited Use

You may not copy scrape resell or redistribute platform data.

You may not reverse engineer or attempt to extract platform logic.

You may not use the Service for unlawful or deceptive purposes.

You may not misrepresent your identity.

You may not spam harass or abuse contacts.

You may not violate intellectual property or data protection laws.

Violation may result in immediate suspension or termination.

Suspension and Termination

Beverage Infosystems LLC may suspend or terminate your account for breach of these Terms non payment misuse or abuse of the Service or to comply with legal obligations.

Upon termination access to the Service ceases immediately and outstanding fees remain payable.

Provisions relating to intellectual property liability indemnification and governing law survive termination.

Limitation of Liability

To the maximum extent permitted by law Beverage Infosystems LLC shall not be liable for lost profits lost revenue lost opportunities business interruption or indirect or consequential damages.

Total liability shall not exceed the amount paid by you in the three months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Beverage Infosystems LLC from any claims damages or expenses arising from your use of the Service your outreach activities violation of laws or third party rights or misuse of data or AI generated outputs.

Confidentiality

Both parties agree to keep confidential any non public business technical or commercial information obtained through the Service except where disclosure is required by law.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of New York United States of America without regard to conflict of law principles.

Courts located in New York New York shall have exclusive jurisdiction.

Changes to These Terms

CPGBuyerAI may update these Terms from time to time. Updated versions will be posted on the website. Continued use of the Service constitutes acceptance of the revised Terms.
